In 2010 I voluntarily decided to stop XS2 Europe BV's activities.

Distribution of a bi-monthly published 32 pages full color magazine in Holland, Belgium and UK.

This magazine was written in Dutch, French and English language. It mentioned pricing of around 1000 products in 4 different currencies. 

I was the writer and editor of this magazine.

Mr. Rene Eringaard and Taiwanese company A-Trend (listed on the Taiwanese stock exchange) agree to establish a joint-venture company in The Netherlands called XS2.

XS2 will have the exclusive rights to distribute A-Trend's products in The Benelux.

VNU Belgium (publisher of the Yellow Pages) starts complaining about the fact that XS2 is using Promedia as a brand name for computers.

Rene Eringaard decides to change the brand name "Promedia" to "Promedion" and registers it as a trademark in Benelux. XS2 starts to sell desktops and notebooks using the brand name "Promedion".

2011:

Rene Eringaard dissolves all XS2 subsidiaries. XS2 Holding BV remains active.
 

Rene Eringaard agrees that Taiwanese company Yuhuan Global Co., Ltd becomes a licensee free of charge of the trademark XXODD for smartphone and tablet accessories:

Such as chargers, portable power banks, battery powered HDMI pocket projectors, battery powered Bluetooth speakers, Bluetooth smart wristbands and other Bluetooth devices.

By doing so, the XXODD trademark and the respective domain names are active and in use, and cannot be claimed by former competitors.

 

Rene Eringaard agrees that Taiwanese company Yuhuan Global Co., Ltd becomes a licensee free of charge of the trademark VIBIAN for watches, smart watches and smart bracelets.

Rene Eringaard’s work mainly consisted of:
Daily 24 hour non stop recording with time and date stamp of the radio broadcasts on reel-to-reel tape recorders.
Supply the above recorded broadcasts/radio programs to the radio DJ/radio host/audio engineers in case they wanted a copy of past broadcasts.
Editing magnetic tapes, quality check of magnetic tapes, magnetically bulk erasing recordings so that the tapes could be used again.
Recording 78RPM gramophone records on reel-to-reel tape recorders so that this audio recording could be used in the studio during broadcasting a radio program.
(these gramophone records could be from the early 1930’s and had to be treated carefully)

ICP and Colorado Memory Systems:
In 1991 mr. Frank Hensley from Colorado Memory Systems(USA) visited ICP’s parent company Sydec.
Colorado Memory Systems manufactured computer backup systems, a so called tape streamer.
(Protecting against the loss of data stored on a hard disk in case it crashes)
Sydec was already selling several backup/storage solutions such as Exabyte and SyQuest.
Sydec decided that the Colorado Memory Systems products could be better sold by daughter company ICP.

The Colorado Memory Systems products had a capacity up to 250MB.

An internal backup tape drive which needed it’s ISA/EISA/MCA controller board.
b: Trakker
An external backup tape drives that could be easily connected to a parallel port.
Before 1996 desktop and notebook computers had parallel and serial ports for connectivity.
USB ports were introduced in 1996.

Jumbo and Trakker were the first affordable tape drives for the mainstream market:
The director of ICP, Mr. Ben Jan Wilbrink gave Rene Eringaard full power and full control to launch this new advanced tape back-up system.
This means that Rene Eringaard had total freedom regarding:
Purchasing, Sales, Marketing, Advertising, Market Development Funds.

ICP became market leader in Holland, Belgium by shipping average 45.000pcs tape drives per year.
Additional sales and profit were generated by selling data storage tapes.

Bigger US based distributors and pan-european distributors soon should create strong competition.
Mr. Ben Jan Wilbrink’s goal as decribed above is fully understandable.

1995:
Promise is a Promise:

During 1993 and 1996 the integration of employees of it’s former parent company Sydec wiped out ICP’s  “down-to-earth” culture and mentality.
In 1993 ICP promised Rene Eringaard (and a few other employees) to become small minority shareholders of ICP.
In 1995 ICP still did not fulfill this “shares promise”. ICP did not remember that this promise was made. (LOL)
Rene Eringaard mentioned several times this “shares promise” to the board of directors of ICP.
Recalling this “shares promise” resulted in an unpleasant working atmosphere.
Besides that, if ICP should be aquired by a foreign company, it could result in the fact that Rene Eringaard probably should lose (partly) his job within ICP.

1997:
ICP has been sold in 1997 to IT-components distributor Datrontech (United Kingdom) which was noted on the stock exchange.
“ICP has been approached by a number of US distributors, but managing director Ben Jan Wilbrink said he wanted it to be part of a European operation.
UK components distributor Datrontech Group has acquired Computer Products (ICP) for as the company moves ahead with the European expansion strategy.
ICP was Datrontech's eleventh acquisition between 1995 – 1997. Datrontech had been looking at potential buys in Scandinavia, but has satisfied its ambition as ICP is also established in this region.
ICP, a computer components and peripherals distributor, sells primarily into the Netherlands, UK and Belgium, with operations in Denmark and Germany.
ICP has one UK sales unit - in Wokingham, Berkshire - plus a branch in Belgium and one in Taiwan. Mark Mulford, Datrontech CEO, said: 'Holland is a prime location for servicing mainland Europe, and there are many growth opportunities from co-operative activity between ICP and Datrontech. XS2 introduces a private labeled Promedion 2.0 Megapixel digital camera with the size of a pen.

 

XS2 introduces a range of private labeled “Promedion Edrive” external USB-harddisks up to 400GB.


German company Medion starts complaining about the fact that XS2 is using "Promedion" as a brand name.
Rene Eringaard decides to change the "Promedion" brand name to "XXODD" in order to avoid conflict with the German company Medion.

2006:
In this 10th full year of activities the net sales of XS2 is € 35 million.
German company Medion started complaining in the year 2005 about the fact that XS2 is using "Promedion" as a brand name. Rene Eringaard decides to change the "Promedion" brand name to "XXODD" in order to avoid conflict with the German company Medion.

"XXODD" is launched by XS2 as new brand name for desktops, notebooks and other computer peripherals.

 

"XXODD" has a focus on custom made assembled notebooks and desktops, mostly used for high performance tasks such as gaming CAD/CAM, servers.

"XXODD" introduces a GPS-GSM handheld locator so that people can trace cars, boats and persons by using Google Maps.

XS2 still remains a distributor for many Taiwanese companies, however "XXODD" branded products are generating most of the sales and profit. In fact, between 2006 and the end of 2010 these "XXODD" branded products will be the main reason of the existence of XS2.


XS2 becomes distributor for following manufacturers:
Arima - notebooks - (Taiwan), QNAP Systems - NAS solutions - (Taiwan), MaPower Electronics (Taiwan), Twinmos (Taiwan)

2007:
In this 11th full year of activities the net sales of XS2 is
€ 18 million.
Between 1996 and 2007 XS2 has two types of activities:
a:
Importer/distributor of computer components and peripherals.
b:
Manufacturer/assembler of desktop computers and notebook computers.

Challenges:
Since the establishment of XS2 (year 1996) the distribution of computers, computer components and peripherals encounters:
a:
Prices and margins of computers, computer components and peripherals are falling significantly.
b:
Rising operating expenses for the distribution of computers, computer components and peripherals.

Based on above:
Rene Eringaard intensifies his cooperation with OEM/ODM notebook manufacturers Arima, Mitac, Clevo and GPU manufacturer Nvidia.
Decision is made that XS2’s role as a distributor of computer components and peripherals must be minimized.
XS2 must focus on it’s private labeled “XXODD” desktop computers and notebooks which are manufactured
with the fastest CPU’s, largest amounts of RAM and highest speed graphic adapters.

With it’s online custom built to order “XXODD” website, comparable with Alienware,
the company XS2 is expanding its activities rapidly into market segments as:  
a: Enthusiast Gaming
b: High-end Servers
c: Professional Workstations (CAD/CAM OpenGL)
d: NAS (Network Attached Storage)

As scheduled and decided by Rene Eringaard, XS2's role as distributor is getting smaller, but this has following advantage:
Less cash flow is being used for the distribution of low priced/cheap computers, computer components, computer peripherals.
Instead the cash flow can be used for higher priced gaming, server, workstation computers with a higher gross profit.
Less cash flow is needed because the sales turnover is lower, however the gross profit is higher...

On the end of the year 2007 the company XS2 has been transformed into a value added manufacturer of performance notebooks, performance desktop computers and network/data storage products. Gross profit percentage rises considerably as a result.


XS2 still remains a distributor for several Taiwanese companies, however "XXODD" branded computers are generating most of the sales and profit.


Cooperation with Intel:

XS2 started a cooperation in the year 2007 with Intel:

a:

Customized painted notebooks

Consumers and companies can order notebooks in their favorite colors, with artwork, with their company logo.

b:

Notebooks painted in the colors and with the logo of Dutch professional soccer clubs Feyenoord and PSV.

PSV is a Premier League soccer club founded by Philips (Philips Sport Vereniging) in the city Eindhoven.

Feyenoord is a Premier League soccer club in the city Rotterdam.


XS2 becomes distributor for following manufacturers:

2008:
In this 12th full year of activities the net sales of XS2 is € 14 million.


Global financial crisis:
XS2’s net sales turnover and gross profit margin proceed according to plan until September 2008. 
In October 2008 the economic crisis is starting to put pressure on XS2’s net sales turnover and gross profit margin.
Market demand is weak. This is an abnormal situation. In Q4 normally IT companies were making most of their sales and profit.

Anyway, the stock markets were dropping worldwide, the housing market collapsed.
Unemployment started to rise causing a decline in consumer wealth and spendings.
Resellers of XS2 failed in their business causing financial damage to XS2.

The Dutch State bails out/nationalizes Dutch banks with taxpayers money, preventing a collapse of the Dutch banking system.

Global financial crisis:
The financing banks ABN-AMRO and ING.
In October 2008, the Dutch State acquired FBN (including ABN AMRO Netherlands) for € 17 billion to prevent a collapse of this bank.
In October 2008, the Dutch bank ING received a capital injection from the Dutch State of €10 billion to prevent a collapse of this bank.

In other words:
Rene Eringaard and XS2 had to deal with new banking contact persons, new tight banking and financing rules.
This unpredictable behavior of the banks will continue the next 3 years.
It is blocking XS2’s normal way of doing business immediately and significantly for the next 3 years.

Global financial crisis:
Trade insurance company Atradius.
(Insurer of credit lines from XS2 to it’s resellers)

XS2’s resellers are facing minimized credit lines.
Atradius is cancelling and/or decreasing credit lines to XS2’s resellers.

In other words:
Atradius is reducing it’s risk.
It makes it more difficult for XS2 to supply goods on a credit line to these resellers.
This behavior by Atradius has nothing to do with the financial situation of XS2.
This unpredictable and rude behaviour of Atradius will continue the next 3 years.
It is blocking XS2’s normal way of doing business immediately and significantly for the next 3 years.

Global financial crisis:
Trade insurance companies Coface and Euler Hermes.
(Insurer of credit lines from manufacturers to XS2)

Regularly meetings with Coface and Euler Hermes became necessary.
Several times they suddenly stopped the credit lines to XS2 without notifying in advance.
Resulting in the fact that manufacturers could not ship goods to XS2
Supply of goods to XS2 became unreliable.
This unpredictable and rude behavior of Coface and Euler Hermes will continue the next 3 years.
It is blocking XS2’s normal way of doing business immediately and significantly for the next 3 years.

Global financial crisis:
Rene Eringaard’s capital injection into XS2.
Rene Eringaard decides to have a shareholders meeting to propose:
1: A capital injection into XS2 paid by all the shareholders.
2: Decrease of monthly salaries in order to reduce operating costs.

The 3 indirect minority shareholders refuse to inject capital into XS2.
The 3 indirect minority shareholders, as an employee they refuse to decrease their monthly salary.

Rene Eringaard decides to deposit in a private capacity a sum of Euro 400.000 as a share capital into XS2.
Thus supplementing XS2’s own capital.
Rene Eringaard decreases his management fee with 50%.

Because of the fact that 3 indirect minority shareholders of XS2 refused to inject capital,
their percentage of shares decreased significantly from indirectly 40% to indirectly only 20%.

Before Rene Eringaard’s capital injection in year 2008:
Indirect control of shares within XS2:
Shareholder Rene Eringaard : 60%
Shareholder 2                    : 20%
Shareholder 3                    : 10%
Shareholder 4                    : 10%

The 40% minority shares has been given to 3 employees during establishment of XS2.
In other words:
Rene Eringaard gave these 3 employees during establishment of XS2 the amount of money to be invested,
so that they could become a shareholder.

After Rene Eringaard’s capital injection in year 2008:

2009:
In this 13th full year of activities the net sales of XS2 is € 10 million.


Global economic crisis continues:
Banks and credit insurance companies continue their unpredictable behavior as mentioned in the year 2008. It is blocking XS2’s normal way of doing business immediately and significantly.
 
Between January and July 2009 there is a complete chaos in the market, many resellers stop their activities. Demand is extremely weak, which is abnormal because also the first 4 months of a year should be the peak-season for IT companies. Net sales turnover and gross profit margin are non-stop under pressure for XS2.

January 2009 – June 2009 (Drastic reorganization)
In January 2009 Mr. Rene Eringaard decides to take firm action by taking a very close look at the organization's costs to enable XS2 surviving the economic crisis. He starts a drastic reorganization plan with the aim of reducing costs by € 60.000 monthly, thus reducing costs with around € 700.000 per year. This reduction of costs can be achieved by:
1: Redundancy of employees.
2: Terminating the lease of company cars.
3: Minimizing costs such as: cleaning, buildings, shipping costs etc.
4: XS2 has 4 warehouse buildings, but total 3 buildings will be in use after this reorganization.


The Dutch State and UWV (Employee Insurance Agency)
UWV is an autonomous administrative authority commissioned by the Ministry of Social Affairs and Employment.
UWV is responsible for implementing employee insurances.

Mr. Rene Eringaard finished his reorganization plan in January 2009 but it took him until July 2009 to complete this reorganization. Why this took so long?
The answer is simple: because the biggest part of reducing costs depended on laying off employees…..
UWV must give the employer permission to layoff employees. UWV responded slow at Rene Eringaard’s plan to layoff employees. UWV needed several months to give permission and only in July 2009 the reorganization was completed.

The capital injection made by Mr. Rene Eringaard into XS2 in the year 2008 of €400.000 was completely used to survive the first six months of the year 2009. So these first six months of 2009 were extremely difficult, however finally in July 2009 cost savings were achieved 

In other words:
Mr. Rene Eringaard finished his reorganization plan in January 2009, but it took him until July 2009 to complete the reorganization.
The reason: a slow responding Dutch State and it’s autonomous administrative authority UWV.

July 2009 – December 2009
In July, August, September 2009, XS2 is operating with small profits or at least break-even.
In our line of business usually no profit was made during the summer.
Profits were usually generated between October until April.
Between July and December 2009 XS2 generated a small profit of only €54.000.

XS2 - Year 2010 - The voluntary liquidation of subsidiary XS2 Europe BV

2010:
In this 14th year Rene Eringaard decides to a voluntary liquidation of subsidiary XS2 Europe BV on November 2nd.


Awards:

Global economic crisis continues:
The situation of XS2’s resellers in the year 2010.
XS2 is supplying mostly to resellers on a credit of 30 days. However in the year 2010 most of the resellers are delaying their payments. The economic situation is still to blame for this. Only a few resellers are paying within 30 days. Several large resellers went bankrupt, causing a big loss for XS2. If a reseller goes bankrupt only 80% is insured. Many resellers received goods on XS2's own risk. If such a reseller goes bankrupt, then there is a 100% damage for XS2. An important issue is also the fact that XS2 has to use the collection agency more frequently resulting in a lot of payment arrangements with resellers. These payment arrangements are putting a negative effect on XS2's cash flow.


 
Global economic crisis continues:
The Dutch State and UWV (Employee Insurance Agency)
UWV is an autonomous administrative authority commissioned by the Ministry of Social Affairs and Employment. UWV is responsible for implementing employee insurances.

In June 2010 Mr. Rene Eringaard started to reorganize the company again. This could only be done by laying off employees. However permission to lay off employees was only granted by UWV (Employee Insurance Agency) in September 2010. It means that these employees still have a notice of 1 or 2 months before they are really not employed anymore. This means that cost saving could can only be reached starting November 1st 2010.
In other words: a slow responding Dutch State and it’s autonomous administrative authority UWV.



Global economic crisis continues:
The financing banks ABN-AMRO and ING.
In October 2008, the Dutch State acquired FBN (including ABN AMRO Netherlands) for € 17 billion to prevent a collapse of this bank.
In October 2008, the Dutch bank ING received a capital injection from the Dutch State of €10 billion to prevent a collapse of this bank.

In other words:
Rene Eringaard and XS2 had to deal with tight banking and financing rules in the year 2010. During meetings Mr. Rene Eringaard explains to above banks that XS2 will receive permission from UWV (Employee Insurance Agency) to lay-off people. XS2 will be break-even after these people have been laid off on November 1st 2010. However ABN-AMRO bank decides to cut down XS2's credit line with a significant amount resulting in an immediate cash flow problem. Combined with the fact that most of the resellers did not pay their invoices on time anymore due to the economic situation in Holland, it resulted in a bigger cash flow problem.



Global economic crisis continues:
Trade insurance company Atradius.
(Insurer of credit lines from XS2 to it’s resellers)
XS2 has a yearly contract to insure all outstanding invoices to their resellers. It is a contract between Atradius and XS2’s subsidiary XS2 Europe BV. XS2 used to have an amount of € 7 million insured credit lines to roughly 550 resellers/shops. 
Most of these resellers are located in the Netherlands and Belgium, some of them were located in the UK and Germany. 

In October 2010 Atradius forced a new contract to XS2 in which they did not withdraw any credit lines of these resellers.
Now this seems to be good news….
But Atradius only wanted to continue insuring resellers credit lines with following condition:
XS2 must decrease the total amount of reseller credit lines from € 7 million Euro to € 3 million. 
Which means that XS2 had to cancel or minimize reseller credit lines on her own. 
XS2 was forced by Atradius to reduce and cancel credit lines to resellers in October 2010.
Immediately XS2 started losing customers due to this forced measure of Atradius.


In fact the proposal from Atradius was ridiculous and created a non-workable situation for XS2 and her resellers.
In other words: Atradius collected 15 years huge amounts of insurance money from XS2. 
When the economy collapsed, Atradius immediately lowered insured credit lines thus lowering their risk.



Global economic crisis continues:
The position of the minority shareholders of XS2.
After Rene Eringaard’s capital injection of € 400.000 into XS2 in the year 2008 the indirect control of shares within XS2 became:
Shareholder Rene Eringaard : 80%
Shareholder 2                      : 10%
Shareholder 3                      : 5%
Shareholder 4                      : 5%
The 20% minority shares has been given to 3 employees during establishment of XS2.
In other words:
Rene Eringaard gave these 3 employees during establishment of XS2 the amount of money to be invested, so that they could become a shareholder. In the year 2008 these minority shareholders refused to join a capital injection proposed by Mr.Rene Eringaard in order to make XS2 more healthy.



Description Shareholder 2:
10% indirect minority shareholder and employee of XS2.
In the years 2006, 2007, 2008 this person Mr. W.F.E. has caused a severe € 2.9 million dispute between XS2 and the Dutch tax department.
Rene Eringaard arranged a settlement with the Dutch tax authorities regarding this dispute in the year 2008:
a: XS2 must stop Supreme Court proceedings against the Dutch tax authorities.
b: XS2 will pay € 350.000 to the Dutch tax authorities.
c: XS2 will not receive a € 858.000 VAT Tax refund:
d: XS2 will absorb a total damage of: € 350.000 + € 858.000 = € 1.2 million.

After settlement with the Dutch tax department Rene Eringaard has fired this employee.
However the employee still kept the 10% minority shares.



Description Shareholder 3:
5% indirect minority shareholder and employee of XS2.
This indirect minority shareholder resigned his job in the year 2009 and emigrated to Hungary.
However the employee still kept the 5% minority shares.



Description Shareholder 4:
5% indirect minority shareholder and employee of XS2.
This indirect minority shareholder resigned his job in January 2010
However the employee still kept the 5% minority shares.

In the summer of 2010 these 3 indirect minority shareholders joined each other to sell their shares. After all, they were no employee anymore, so they wanted to collect money for their minority shares.
Mr. Rene Eringaard explained to them that XS2 was experiencing difficult times and that they were making the situation extremely difficult for him and for XS2 and all employees…
However they insisted in selling the shares.
To make this story not too long: XS2’s marketing manager has bought these 20% of indirect shares.



In October 2010 the company structure becomes as following:

95%  XS2 Holding BV (= Rene Eringaard)
5%    Mr. Yu Shen Lin (= A-Power Technology Co)

The shareholders of this company are:

The shareholders of this company are:
100% XS2 Investments BV



Financial challenges of XS2 in 2010:
1:
Trade insurance company Atradius minimizes its risk by decreasing XS2’s reseller credit lines.
Atradius is forcing XS2 to finance resellers with 100% own risk credit lines

2:
Resellers are not able to pay their invoices within 30 days to XS2.
(Many resellers need payment arrangements)

3:
ING Bank and ABN Amro bank are bailed out or nationalized by the Dutch State.
ING Bank and ABN AMRO bank decrease the credit lines of XS2.

4:
Settlement with Dutch tax authorities has caused severe damage to XS2 in year 2008.

5:
Slow response of the Dutch State to give permission to lay off people.

6:
Ex-employees, but minority shareholders demand cash money for their shares.

7:
Remaining employees expect a salary increase after their co-workers will be fired.



Market challenges of XS2 in 2010 from a technical point of view:
Smart devices are quickly changing the way people find information and entertainment, communicate and get things done. The position of XS2 as importer/distributor of notebooks, computers , components and peripherals becomes questionable.
1:
Apple:
iPhone was introduced in June 2007 with:
2G GSM 2.5G GPRS, 2.75G EDGE data transfer, WiFi, Bluetooth, USB, RISC ARM based CPU, Touchscreen, innovative operating sytem.

iPhone 3G was introduced in June 2008 with:
3G UMTS, 3.5G HSDPA datatransfer, GPS.

iPhone 4 was introduced in June 2010 with:
3,75G HSUPA and PowerVR based GPU for graphics.

iPad was introduced in March 2010 with:
3,5G HSDPA and PowerVR based GPU for graphics

2:
Google:
Introduction of Android Alpha in 2007 and Android 1.0 in September 2008 using ARM based CPU’s and Mali GPU’s.

 

3:
Microsoft:
Introduction of the specialized operating system Azure, a cloud computing platform and infrastructure.
Increasing speed of internet, high-capacity networks, remote Cloud Servers, Cloud Services makes Cloud Computing, Cloud Storage and Hardware Virtualization possible.
Generating lower and scalable costs for companies and consumers.

4:
The lifecycle of desktop and notebook computers becomes longer.
Companies and consumers simply extend the life of computers by upgrading its hardware or operating system, keeping older desktops and notebooks for many years before buying a complete new computer system.

5:
XS2 was selling computers with components and software of:
Intel CPU’s - (Intel Channel Partner Premier)
AMD CPU’s - (AMD Solution Provider Platinum)
Microsoft - (Microsoft Gold Certified Partner)
ATI and nVidia GPU’s

Smartphones and tablets change the way of computing. They even replace computers for daily tasks and soon these devices could be used for gaming and HD video.
These smart devices are:
a: not using Intel CPU’s but they use ARM based RISC CPU’s.
b: not using AMD CPU’s but they use ARM based RISC CPU’s.
c: not using Microsoft’s operating system but using iOS or Android.
d: not using nVidia GPU’s or ATI GPU’s but using Mali or PowerVR GPU’s.
These smart devices combined with increased internet speed and Cloud Computing should have a negative effect on the sales of desktop and notebook computers.


Conclusion:
The IT landscape has been changed significantly.
Importing and distributing Android smartphones and tablets from smaller Chinese manufacturers was no option for XS2. The quality of these Chinese made devices is not good enough. (Especially the batteries) It could result in damage claims against XS2 and/or extremely high RMA rates and costs for XS2.

Assembling and distributing only gaming desktop and notebook computers could be profitable…….
But reorganizing the company and only keeping the department responsible for gaming notebooks and gaming desktops would eventually create extreme high redundancy costs as required by the Dutch law.

Based on above facts Rene Eringaard decides to a voluntary liquidation of his subsidiary XS2 Europe BV on November 2nd 2010.

XS2 - Year 2011 - Dismantling subsidiary XS2 Europe BV and dissolving all subsidiaries

Dismantling subsidiary XS2 Europe BV:

On November 2nd 2010 subsidiary XS2 Europe BV has been voluntarily liquidated by Mr. Rene Eringaard. In cooperation with and with final approval of the Trustee and the Court Commissioner Mr. Rene Eringaard has dismantled subsidiary XS2 Europe BV by:
1:
Rene Eringaard returned all unpaid goods to the suppliers.
2:
Rene Eringaard sold the complete stock and assets to competitors.
3:
Rene Eringaard and ING-Comfin collected almost all outstanding invoices from resellers who had received goods on a credit line.
Some resellers refused to pay after several demands because:
a:
Resellers were claiming that they lost their warranty.
In this situation Rene Eringaard proposed a payment arrangement and deducted around 20% - 30% of the outstanding invoice. Besides that he explained how and where the resellers could claim warranty from all manufacturers.
b:
Resellers assumed not to pay outstanding invoices to XS2 Europe BV, because their supplier XS2 Europe BV stopped its activities.
and/or:
Resellers did not want to return the goods to XS2 Europe BV to get a full credit note.
In this situation Rene Eringaard transferred the outstanding invoices and a complete debt collection file to the lawyers of professional debt collector Bierens Collections Agency.
4:
Competitors approached the Trustee and the Court Commissioner because they wanted to buy the domain names and trademarks for a low price. These competitors did not succeed in acquiring the domain names and trademarks because XS2 Europe BV was a domain name and trademark licensee. To keep it simple: Mr. Rene Eringaard was / is / remains the owner and licensor of around 50 domain names and 5 trademarks.

Was it a wise decision to stop XS2’s activities as assembler of desktop and notebook computers ?
Was it a wise decision to stop XS2’s activities as importer/distributor of computer components and peripherals ?
The answer is yes.

Some reasons are mentioned below:
There is a decline in the sales of personal computers in favor of “post-PC mobile devices”such as smartphones, tablets, wearables and ubiquitous computing. There is a shift towards mobile devices as the primary method of computing, as a complement to the PC.
These devices emphasize:
a: portability and connectivity
b: the use of cloud-based services
c: more focused “apps” to perform tasks
d: the ability to synchronize information between multiple devices seamlessly without the need of a desktop computer.

The threat of so called “post-PC” devices have also affected the producers of the x86 processors typically used by PCs:
Many smartphones and tablets use low-power ARM processors instead of the x86 processors sold by companies such as Intel and AMD. The decline in PC sales has directly affected the sales of these x86 processors.

Several sources have identified Amazon, Apple, Google and Microsoft as the four platform cloud companies which will be the key competitors in the post-PC era of computing. Tech companies with a heavy dependency on PC sales such as Hewlett-Packard and Dell have seen their earnings suffer. IBM has also struggled due to slowing demand for hardware and consulting services.

The global market share of games (software) for PC’s is still reasonable stable.
(28% in the year 2015 and forecasted to have 26% in the year 2017 in a growing market)

By doing so, the XXODD trademark and the respective domain names are active and in use, and cannot be claimed by former competitors.


December 2011:

Dutch national radio stations Hilversum 1, 2, 3, 4, 5.

Rene Eringaard operated various professional analog and digital audio equipment such as:

Analog AEG Telefunken M15 magnetophons (reel-to-reel tape recorders with a weight of around 52Kg) Multitrack reel-to-reel tape recorders, the first CD players, professional turntables and mixing consoles.

 

Rene Eringaard’s work mainly consisted of:

Daily 24 hour non stop recording with time and date stamp of the radio broadcasts on reel-to-reel tape recorders.

Supply the above recorded broadcasts/radio programs to the radio DJ/radio host/audio engineers in case they wanted a copy of past broadcasts.

Editing magnetic tapes, quality check of magnetic tapes, magnetically bulk erasing recordings so that the tapes could be used again.

Recording 78RPM gramophone records on reel-to-reel tape recorders so that this audio recording could be used in the studio during broadcasting a radio program. (these gramophone records could be from the early 1930’s and had to be treated carefully)

ICP and Colorado Memory Systems:
In 1991 mr. Frank Hensley from Colorado Memory Systems(USA) visited ICP’s parent company Sydec.
Colorado Memory Systems manufactured computer backup systems, a so called tape streamer.
(Protecting against the loss of data stored on a hard disk in case it crashes)
Sydec was already selling several backup/storage solutions such as Exabyte and SyQuest.
Sydec decided that the Colorado Memory Systems products could be better sold by daughter company ICP.

The Colorado Memory Systems products had a capacity up to 250MB.

An internal backup tape drive which needed it’s ISA/EISA/MCA controller board.
b: Trakker
An external backup tape drives that could be easily connected to a parallel port.
Before 1996 desktop and notebook computers had parallel and serial ports for connectivity.
USB ports were introduced in 1996.

Jumbo and Trakker were the first affordable tape drives for the mainstream market:
The director of ICP (Ben Jan Wilbrink) gave Rene Eringaard full power and full control to launch this new advanced tape back-up system.
This means that Rene Eringaard had total freedom regarding:
Purchasing, Sales, Marketing, Advertising, Market Development Funds.

ICP became market leader in Holland, Belgium by shipping average 45.000pcs tape drives per year.

The goal was to become a pan-european distributor.
In case this goal could not be reached independently, then it should be reached by taking over other companies or by merging with other companies, or to be acquired by a pan-european distributor.
ICP was doing well in sales, profit and marketshare but distribution probably should have a consolidation in the near future.
Bigger US based distributors and pan-european distributors soon should create strong competition.
Mr. Ben Jan Wilbrink’s goal as decribed above is fully understandable.

1995:
Promise is a Promise:

During 1993 and 1996 the integration of employees of it’s former parent company Sydec wiped out ICP’s  “down-to-earth” culture and mentality.
In 1993 ICP promised Rene Eringaard (and a few other employees) to become small minority shareholders of ICP.
In 1995 ICP still did not fulfill this “shares promise”. ICP did not remember that this promise was made. (LOL)
Rene Eringaard mentioned several times this “shares promise” to the board of directors of ICP.
Recalling this “shares promise” resulted in an unpleasant working atmosphere.
Besides that, if ICP should be aquired by a foreign company, it could result in the fact that Rene Eringaard probably should lose (partly) his job within ICP.

1997:
ICP has been sold in 1997 to IT-components distributor Datrontech (United Kingdom) which was noted on the stock exchange.

Rene Eringaard resigns his job at ICP.
Rene Eringaard and Mr. Ruud Wildevuur prepare a business plan for a new company called Sumo International BV.
Mr. Ruud Wildevuur was a retired entrepeneur and after retirement he became a volunteer at the Dutch Chamber of Commerce. The new company should be called SUMO International BV i.o., but very soon we changed this to the name XS2 Europe BV i.o.

In this 10th full year of activities the net sales of XS2 is € 35 million.
German company Medion started complaining in the year 2005 about the fact that XS2 is using "Promedion" as a brand name. Rene Eringaard decides to change the "Promedion" brand name to "XXODD" in order to avoid conflict with the German company Medion.

"XXODD" is launched by XS2 as new brand name for desktops, notebooks and other computer peripherals.

"XXODD" has a focus on custom made assembled notebooks and desktops, mostly used for high performance tasks such as gaming CAD/CAM, servers.

"XXODD" introduces a GPS-GSM handheld locator so that people can trace cars, boats and persons by using Google Maps.

XS2 still remains a distributor for many Taiwanese companies, however "XXODD" branded products are generating most of the sales and profit. In fact, between 2006 and the end of 2010 these "XXODD" branded products will be the main reason of the existence of XS2.

In this 11th full year of activities the net sales of XS2 is € 18 million.
Between 1996 and 2007 XS2 has two types of activities:
a:
Importer/distributor of computer components and peripherals.
b:
Manufacturer/assembler of desktop computers and notebook computers.

Challenges:
Since the establishment of XS2 (year 1996) the distribution of computers, computer components and peripherals encounters:
a:
Prices and margins of computers, computer components and peripherals are falling significantly.
b:
Rising operating expenses for the distribution of computers, computer components and peripherals.

Based on above:
Rene Eringaard intensifies his cooperation with OEM/ODM notebook manufacturers Arima, Mitac, Clevo and GPU manufacturer Nvidia.
Decision is made that XS2’s role as a distributor of computer components and peripherals must be minimized.
XS2 must focus on it’s private labeled “XXODD” desktop computers and notebooks which are manufactured
with the fastest CPU’s, largest amounts of RAM and highest speed graphic adapters.

With it’s online custom built to order “XXODD” website, comparable with Alienware,
the company XS2 is expanding its activities rapidly into market segments as:  
a: Enthusiast Gaming
b: High-end Servers
c: Professional Workstations (CAD/CAM OpenGL)
d: NAS (Network Attached Storage)

As scheduled and decided by Rene Eringaard, XS2's role as distributor is getting smaller, but this has following advantage:
Less cash flow is being used for the distribution of low priced/cheap computers, computer components, computer peripherals.
Instead the cash flow can be used for higher priced gaming, server, workstation computers with a higher gross profit.
Less cash flow is needed because the sales turnover is lower, however the gross profit is higher...

On the end of the year 2007 the company XS2 has been transformed into a value added manufacturer of performance notebooks, performance desktop computers and network/data storage products. 

Gross profit percentage rises considerably as a result.

XS2 still remains a distributor for several Taiwanese companies, however "XXODD" branded computers are generating most of the sales and profit.

Cooperation with Intel:
XS2 started a cooperation in the year 2007 with Intel:
a:
Customized painted notebooks
Consumers and companies can order notebooks in their favorite colors, with artwork, with their company logo.
b:
Notebooks painted in the colors and with the logo of Dutch professional soccer clubs Feyenoord and PSV.
PSV is a Premier League soccer club founded by Philips (Philips Sport Vereniging) in the city Eindhoven.
Feyenoord is a Premier League soccer club in the city Rotterdam.

In this 12th full year of activities the net sales of XS2 is € 14 million.


Global financial crisis:
XS2’s net sales turnover and gross profit margin proceed according to plan until September 2008. 
In October 2008 the economic crisis is starting to put pressure on XS2’s net sales turnover and gross profit margin.
Market demand is weak. This is an abnormal situation. In Q4 normally IT companies were making most of their sales and profit.

Anyway, the stock markets were dropping worldwide, the housing market collapsed.
Unemployment started to rise causing a decline in consumer wealth and spendings.
Resellers of XS2 failed in their business causing financial damage to XS2.

The Dutch State bails out/nationalizes Dutch banks with taxpayers money, preventing a collapse of the Dutch banking system.

Global financial crisis:
The financing banks ABN-AMRO and ING.
In October 2008, the Dutch State acquired FBN (including ABN AMRO Netherlands) for € 17 billion to prevent a collapse of this bank.
In October 2008, the Dutch bank ING received a capital injection from the Dutch State of €10 billion to prevent a collapse of this bank.

In other words:
Rene Eringaard and XS2 had to deal with new banking contact persons, new tight banking and financing rules.
This unpredictable behavior of the banks will continue the next 3 years.
It is blocking XS2’s normal way of doing business immediately and significantly for the next 3 years.

Global financial crisis:
Trade insurance company Atradius. 
(Insurer of credit lines from XS2 to it’s resellers)

XS2’s resellers are facing minimized credit lines.
Atradius is cancelling and/or decreasing credit lines to XS2’s resellers.

In other words:
Atradius is reducing it’s risk.
It makes it more difficult for XS2 to supply goods on a credit line to these resellers.
This behavior by Atradius has nothing to do with the financial situation of XS2.
This unpredictable and rude behaviour of Atradius will continue the next 3 years.
It is blocking XS2’s normal way of doing business immediately and significantly for the next 3 years.

Global financial crisis:
Trade insurance companies Coface and Euler Hermes. 
(Insurer of credit lines from manufacturers to XS2)

Regularly meetings with Coface and Euler Hermes became necessary.
Several times they suddenly stopped the credit lines to XS2 without notifying in advance.
Resulting in the fact that manufacturers could not ship goods to XS2
Supply of goods to XS2 became unreliable.
This unpredictable and rude behavior of Coface and Euler Hermes will continue the next 3 years.
It is blocking XS2’s normal way of doing business immediately and significantly for the next 3 years.

Global financial crisis: 
Rene Eringaard’s capital injection into XS2.
Rene Eringaard decides to have a shareholders meeting to propose:
1: A capital injection into XS2 paid by all the shareholders.
2: Decrease of monthly salaries in order to reduce operating costs.

The 3 indirect minority shareholders refuse to inject capital into XS2.
The 3 indirect minority shareholders, as an employee they refuse to decrease their monthly salary.

Rene Eringaard decides to deposit in a private capacity a sum of Euro 400.000 as a share capital into XS2.
Thus supplementing XS2’s own capital.
Rene Eringaard decreases his management fee with 50%.

 

Because of the fact that 3 indirect minority shareholders of XS2 refused to inject capital,
their percentage of shares decreased significantly from indirectly 40% to indirectly only 20%.

Before Rene Eringaard’s capital injection in year 2008:
Indirect control of shares within XS2:

2009:
In this 13th full year of activities the net sales of XS2 is € 10 million.


Global economic crisis continues:
Banks and credit insurance companies continue their unpredictable behavior as mentioned in the year 2008. It is blocking XS2’s normal way of doing business immediately and significantly.

Between January and July 2009 there is a complete chaos in the market, many resellers stop their activities. Demand is extremely weak, which is abnormal because also the first 4 months of a year should be the peak-season for IT companies. Net sales turnover and gross profit margin are non-stop under pressure for XS2.

January 2009 – June 2009 (Drastic reorganization)
In January 2009 Mr. Rene Eringaard decides to take firm action by taking a very close look at the organization's costs to enable XS2 surviving the economic crisis. He starts a drastic reorganization plan with the aim of reducing costs by € 60.000 monthly, thus reducing costs with around € 700.000 per year. This reduction of costs can be achieved by:
1: Redundancy of employees.
2: Terminating the lease of company cars.
3: Minimizing costs such as: cleaning, buildings, shipping costs etc.
4: XS2 has 4 warehouse buildings, but total 3 buildings will be in use after this reorganization.


The Dutch State and UWV (Employee Insurance Agency)
UWV is an autonomous administrative authority commissioned by the Ministry of Social Affairs and Employment.
UWV is responsible for implementing employee insurances.

Mr. Rene Eringaard finished his reorganization plan in January 2009 but it took him until July 2009 to complete this reorganization. Why this took so long?
The answer is simple: because the biggest part of reducing costs depended on laying off employees…..
UWV must give the employer permission to layoff employees. UWV responded slow at Rene Eringaard’s plan to layoff employees. UWV needed several months to give permission and only in July 2009 the reorganization was completed.

The capital injection made by Mr. Rene Eringaard into XS2 in the year 2008 of €400.000 was completely used to survive the first six months of the year 2009. So these first six months of 2009 were extremely difficult, however finally in July 2009 cost savings were achieved 

In other words:
Mr.Rene Eringaard finished his reorganization plan in January 2009, but it took him until July 2009 to complete the reorganization.
The reason: a slow responding Dutch State and it’s autonomous administrative authority UWV.

July 2009 – December 2009
In July, August, September 2009, XS2 is operating with small profits or at least break-even.
In our line of business usually no profit was made during the summer.
Profits were usually generated between October until April.
Between July and December 2009 XS2 generated a small profit of only €54.000.

In this 14th year Rene Eringaard decides to a voluntary liquidation of subsidiary XS2 Europe BV on November 2nd 2010.

Global economic crisis continues:
The situation of XS2’s resellers in the year 2010.
XS2 is supplying mostly to resellers on a credit of 30 days. However in the year 2010 most of the resellers are delaying their payments. The economic situation is still to blame for this. Only a few resellers are paying within 30 days. Several large resellers went bankrupt, causing a big loss for XS2. If a reseller goes bankrupt only 80% is insured. Many resellers received goods on XS2's own risk. If such a reseller goes bankrupt, then there is a 100% damage for XS2. An important issue is also the fact that XS2 has to use the collection agency more frequently resulting in a lot of payment arrangements with resellers. These payment arrangements are putting a negative effect on XS2's cash flow.


 
Global economic crisis continues:
The Dutch State and UWV (Employee Insurance Agency)
UWV is an autonomous administrative authority commissioned by the Ministry of Social Affairs and Employment. UWV is responsible for implementing employee insurances.

In June 2010 Mr. Rene Eringaard started to reorganize the company again. This could only be done by laying off employees. However permission to lay off employees was only granted by UWV (Employee Insurance Agency) in September 2010. It means that these employees still have a notice of 1 or 2 months before they are really not employed anymore. This means that cost saving could can only be reached starting November 1st 2010.
In other words: a slow responding Dutch State and it’s autonomous administrative authority UWV.



Global economic crisis continues:
The financing banks ABN-AMRO and ING.
In October 2008, the Dutch State acquired FBN (including ABN AMRO Netherlands) for € 17 billion to prevent a collapse of this bank.
In October 2008, the Dutch bank ING received a capital injection from the Dutch State of €10 billion to prevent a collapse of this bank.

In other words:
Rene Eringaard and XS2 had to deal with tight banking and financing rules in the year 2010. During meetings Mr. Rene Eringaard explains to above banks that XS2 will receive permission from UWV (Employee Insurance Agency) to lay-off people. XS2 will be break-even after these people have been laid off on November 1st 2010. However ABN-AMRO bank decides to cut down XS2's credit line with a significant amount resulting in an immediate cash flow problem. Combined with the fact that most of the resellers did not pay their invoices on time anymore due to the economic situation in Holland, it resulted in a bigger cash flow problem.

XS2 has a yearly contract to insure all outstanding invoices to their resellers. It is a contract between Atradius and XS2’s subsidiary XS2 Europe BV. XS2 used to have an amount of € 7 million insured credit lines to roughly 550 resellers/shops. 
Most of these resellers are located in the Netherlands and Belgium, some of them were located in the UK and Germany. 

In October 2010 Atradius forced a new contract to XS2 in which they did not withdraw any credit lines of these resellers.
Now this seems to be good news….
But Atradius only wanted to continue insuring resellers credit lines with following condition:
XS2 must decrease the total amount of reseller credit lines from € 7 million Euro to € 3 million. 
Which means that XS2 had to cancel or minimize reseller credit lines on her own. 
XS2 was forced by Atradius to reduce and cancel credit lines to resellers in October 2010.
Immediately XS2 started losing customers due to this forced measure of Atradius.


In fact the proposal from Atradius was ridiculous and created a non-workable situation for XS2 and her resellers.
In other words: Atradius collected 15 years huge amounts of insurance money from XS2. 
When the economy collapsed, Atradius immediately lowered insured credit lines thus lowering their risk.



Global economic crisis continues:
The position of the minority shareholders of XS2.
After Rene Eringaard’s capital injection of € 400.000 into XS2 in the year 2008 the indirect control of shares within XS2 became:
Shareholder Rene Eringaard : 80%
Shareholder 2                      : 10%
Shareholder 3                      : 5%
Shareholder 4                      : 5%
The 20% minority shares has been given to 3 employees during establishment of XS2.
In other words:
Rene Eringaard gave these 3 employees during establishment of XS2 the amount of money to be invested, so that they could become a shareholder. In the year 2008 these minority shareholders refused to join a capital injection proposed by Mr.Rene Eringaard in order to make XS2 more healthy.



Description Shareholder 2:
10% indirect minority shareholder and employee of XS2.
In the years 2006, 2007, 2008 this person Mr. W.F.E. has caused a severe € 2.9 million dispute between XS2 and the Dutch tax department.
Rene Eringaard arranged a settlement with the Dutch tax authorities regarding this dispute in the year 2008:
a: XS2 must stop Supreme Court proceedings against the Dutch tax authorities.
b: XS2 will pay € 350.000 to the Dutch tax authorities.
c: XS2 will not receive a € 858.000 VAT Tax refund:
d: XS2 will absorb a total damage of: € 350.000 + € 858.000 = € 1.2 million.

After settlement with the Dutch tax department Rene Eringaard has fired this employee.
However the employee still kept the 10% minority shares.



Description Shareholder 3:
5% indirect minority shareholder and employee of XS2.
This indirect minority shareholder resigned his job in the year 2009 and emigrated to Hungary.
However the employee still kept the 5% minority shares.



Description Shareholder 4:
5% indirect minority shareholder and employee of XS2.
This indirect minority shareholder resigned his job in January 2010
However the employee still kept the 5% minority shares.

In the summer of 2010 these 3 indirect minority shareholders joined each other to sell their shares. After all, they were no employee anymore, so they wanted to collect money for their minority shares.
Mr. Rene Eringaard explained to them that XS2 was experiencing difficult times and that they were making the situation extremely difficult for him and for XS2 and all employees…
However they insisted in selling the shares.
To make this story not too long: XS2’s marketing manager has bought these 20% of indirect shares.

5%    Mr. Yu Shen Lin (= A-Power Technology Co)

The shareholders of this company are:

The shareholders of this company are:
100% XS2 Investments BV



Financial challenges of XS2 in 2010:
1:
Trade insurance company Atradius minimizes its risk by decreasing XS2’s reseller credit lines.
Atradius is forcing XS2 to finance resellers with 100% own risk credit lines

2:
Resellers are not able to pay their invoices within 30 days to XS2.
(Many resellers need payment arrangements)

3:
ING Bank and ABN Amro bank are bailed out or nationalized by the Dutch State.
ING Bank and ABN AMRO bank decrease the credit lines of XS2.

4:
Settlement with Dutch tax authorities has caused severe damage to XS2 in year 2008.

5:
Slow response of the Dutch State to give permission to lay off people.

6:
Ex-employees, but minority shareholders demand cash money for their shares.

7:
Remaining employees expect a salary increase after their co-workers will be fired.



Market challenges of XS2 in 2010 from a technical point of view:
Smart devices are quickly changing the way people find information and entertainment, communicate and get things done. The position of XS2 as importer/distributor of notebooks, computers , components and peripherals becomes questionable.
1:
Apple:
iPhone was introduced in June 2007 with:
2G GSM 2.5G GPRS, 2.75G EDGE data transfer, WiFi, Bluetooth, USB, RISC ARM based CPU, Touchscreen, innovative operating sytem.

iPhone 3G was introduced in June 2008 with:
3G UMTS, 3.5G HSDPA datatransfer, GPS.

iPhone 4 was introduced in June 2010 with:
3,75G HSUPA and PowerVR based GPU for graphics.

iPad was introduced in March 2010 with:
3,5G HSDPA and PowerVR based GPU for graphics

2:
Google:
Introduction of Android Alpha in 2007 and Android 1.0 in September 2008 using ARM based CPU’s and Mali GPU’s.

 

3:
Microsoft:
Introduction of the specialized operating system Azure, a cloud computing platform and infrastructure.
Increasing speed of internet, high-capacity networks, remote Cloud Servers, Cloud Services makes Cloud Computing, Cloud Storage and Hardware Virtualization possible.
Generating lower and scalable costs for companies and consumers.

4:
The lifecycle of desktop and notebook computers becomes longer.
Companies and consumers simply extend the life of computers by upgrading its hardware or operating system, keeping older desktops and notebooks for many years before buying a complete new computer system.

5:
XS2 was selling computers with components and software of:
Intel CPU’s - (Intel Channel Partner Premier)
AMD CPU’s - (AMD Solution Provider Platinum)
Microsoft - (Microsoft Gold Certified Partner)
ATI and nVidia GPU’s

Smartphones and tablets change the way of computing. They even replace computers for daily tasks and soon these devices could be used for gaming and HD video.
These smart devices are:
a: not using Intel CPU’s but they use ARM based RISC CPU’s.
b: not using AMD CPU’s but they use ARM based RISC CPU’s.
c: not using Microsoft’s operating system but using iOS or Android.
d: not using nVidia GPU’s or ATI GPU’s but using Mali or PowerVR GPU’s.
These smart devices combined with increased internet speed and Cloud Computing should have a negative effect on the sales of desktop and notebook computers.


Conclusion:
The IT landscape has been changed significantly.
Importing and distributing Android smartphones and tablets from smaller Chinese manufacturers was no option for XS2. The quality of these Chinese made devices is not good enough. (Especially the batteries) It could result in damage claims against XS2 and/or extremely high RMA rates and costs for XS2.

Assembling and distributing only gaming desktop and notebook computers could be profitable…….
But reorganizing the company and only keeping the department responsible for gaming notebooks and gaming desktops would eventually create extreme high redundancy costs as required by the Dutch law.


Based on above facts Rene Eringaard decides to a voluntary liquidation of his subsidiary XS2 Europe BV on November 2nd 2010.

November 2nd 2010 until Januari 31st 2011.
Dismantling subsidiary XS2 Europe BV:

On November 2nd 2010 subsidiary XS2 Europe BV has been voluntarily liquidated by Mr. Rene Eringaard. In cooperation with and with final approval of the Trustee and the Court Commissioner Mr. Rene Eringaard has dismantled subsidiary XS2 Europe BV by:
1:
Rene Eringaard returned all unpaid goods to the suppliers.
2:
Rene Eringaard sold the complete stock and assets to competitors.
3:
Rene Eringaard and ING-Comfin collected almost all outstanding invoices from resellers who had received goods on a credit line.
Some resellers refused to pay after several demands because:
a:
Resellers were claiming that they lost their warranty.
In this situation Rene Eringaard proposed a payment arrangement and deducted around 20% - 30% of the outstanding invoice. Besides that he explained how and where the resellers could claim warranty from all manufacturers.
b:
Resellers assumed not to pay outstanding invoices to XS2 Europe BV, because their supplier XS2 Europe BV stopped its activities.
and/or:
Resellers did not want to return the goods to XS2 Europe BV to get a full credit note.
In this situation Rene Eringaard transferred the outstanding invoices and a complete debt collection file to the lawyers of professional debt collector Bierens Collections Agency.
4:
Competitors approached the Trustee and the Court Commissioner because they wanted to buy the domain names and trademarks for a low price. These competitors did not succeed in acquiring the domain names and trademarks because XS2 Europe BV was a domain name and trademark licensee. To keep it simple: Mr. Rene Eringaard was / is / remains the owner and licensor of around 50 domain names and 5 trademarks.

Was it a wise decision to stop XS2’s activities as assembler of desktop and notebook computers ?
Was it a wise decision to stop XS2’s activities as importer/distributor of computer components and peripherals ?
The answer is yes.

Some reasons are mentioned below:
There is a decline in the sales of personal computers in favor of “post-PC mobile devices”such as smartphones, tablets, wearables and ubiquitous computing. There is a shift towards mobile devices as the primary method of computing, as a complement to the PC.
These devices emphasize:
a: portability and connectivity
b: the use of cloud-based services
c: more focused “apps” to perform tasks
d: the ability to synchronize information between multiple devices seamlessly without the need of a desktop computer.

The threat of so called “post-PC” devices have also affected the producers of the x86 processors typically used by PCs:
Many smartphones and tablets use low-power ARM processors instead of the x86 processors sold by companies such as Intel and AMD. The decline in PC sales has directly affected the sales of these x86 processors.

Several sources have identified Amazon, Apple, Google and Microsoft as the four platform cloud companies which will be the key competitors in the post-PC era of computing. Tech companies with a heavy dependency on PC sales such as Hewlett-Packard and Dell have seen their earnings suffer. IBM has also struggled due to slowing demand for hardware and consulting services.

The global market share of games (software) for PC’s is still reasonable stable.
(28% in the year 2015 and forecasted to have 26% in the year 2017 in a growing market)
The global market share of games (software) for smartphones, tablets, handhelds is growing.
(36% in the year 2015 and forecasted to increase to 41% in the year 2017 in a growing market)

August 2011:
Rene Eringaard agrees that Taiwanese company Yuhuan Global Co., Ltd becomes a licensee free of charge of the trademark XXODD for smartphone and tablet accessories:
Such as chargers, portable power banks, battery powered HDMI pocket projectors, battery powered Bluetooth speakers, Bluetooth smart wristbands and other Bluetooth devices.
By doing so, the XXODD trademark and the respective domain names are active and in use, and cannot be claimed by former competitors.


December 2011:
Rene Eringaard agrees that Taiwanese company Yuhuan Global Co., Ltd becomes a licensee free of charge of the trademark VIBIAN for watches, smart watches and smart bracelets.
By doing so, the VIBIAN trademark and the respective domain names are active and in use, and cannot be claimed by former competitors.
